1. The agreement

This is an agreement between You and Samvidya Edutech LLP, registered in India (LLP Identification Number: AAC-0827) ( “Samvidya Edutech”, "we", “our” or "us").

You are a person using or intending to use services of Oxloop from Samvidya Edutech or a visitor to Oxloop.

Samvidya Edutech owns www.oxloop.com and applications with the name Oxloop. All the applications which are operated under the name Oxloop or are licensed version of Oxloop are the sole ownership of Samvidya Edutech.

2. Definitions

Oxloop Website means the website www.oxloop.com including all sub-domains.

Oxloop App means Samvidya Edutech’s application in different operating systems including all the applications which are licensed to Educators.

Oxloop includes both Oxloop Website and Oxloop App.

Educator means a person or business entity that creates an account on the Oxloop as an Educator.

Student means a person who is added by an Educator as a Student or any person who registers himself as a Student in Oxloop.

Member means a person who has created a account on Oxloop.

Content means the files; documents; exams, assessment reports, books, newspapers, magazines, periodicals, text, software, scripts, graphics, photos, sounds, music, videos, audio visual combinations, interactive features, comments and other content / materials you may view on, access through, or contribute to Oxloop.

Educator’s Content includes all Content submitted by Educator or Educator’s representative to Oxloop or uploaded by Educator or Educator’s representative in Oxloop websites or generated by Educators or Educators representative by virtue of using Oxloop.

Educator’s Member means a person who has created an account on Oxloop through a invite from Educator on Oxloop to register as a Member having rights to access Educator’s content.

Course means the collection of Content uploaded by Educator or their authorised representatives to the Oxloop Website which is then available to be accessed for Member.

User means Member; Educator, Student and any visitor who visits oxloop. For the Purpose of clarification You include User.

By clicking “Login” or "Register" You agree to the Terms & Conditions of Service & Privacy Policy set henceforth between You and Samvidya Edutech. If you are unwilling to be bound by these Terms & Conditions of Service & Privacy Policy, you should not access or use the Oxloop. These Terms and the Privacy Policy will change from time to time and you will be bound by those changes.

3. Terms of Use

Oxloop in general is for uploading, submitting, publishing, managing and accessing information, data, content, responses between Users targeting educational industry but not limited to it. Samvidya Edutech cannot monitor the responses that a person may receive in response to information he/she has displayed on the site. You would have to conduct its own background checks on the bonafide nature of all information, data, content, responses.

Samvidya Edutech will not be liable on account of any inaccuracy of information on this website. It is your responsibility to further research the information on the site. Any breach of privacy or of the information provided by the User to Oxloop website by technical or any other means is not the responsibility of Oxloop. Samvidya Edutech does not guarantee confidentiality of information provided to it by any person acquiring/using all/any information displayed on Oxloop.

Oxloop does not share personally identifiable data of any individual with other entities without obtaining permission except with those acting as our agents. Oxloop shall share all such information that it has in its possession in response to legal process, such as a court order or subpoena. The user shall not utilize the services offered by Oxloop in any manner so as to impair the interests and functioning of Oxloop. The user undertakes not to duplicate, download publish, modify and distribute material on Oxloop website unless specifically authorized by Oxloop in this regard. The User undertakes not to establish any deep link or other connection to any specific page of Oxloop Website without obtaining prior consent of Samvidya Edutech.

The User undertakes to use Oxloop for his/her own purposes. Using content from Oxloop Website for derivative works with a commercial motive without prior written consent from Samvidya Edutech is strictly prohibited.

Oxloop uses technological means to exclude spams; cookies; programs; robots etc from crawling the website and scraping content. The user undertakes not to circumvent these methods.

Educators undertake that Oxloop shall not be utilized to upload, post, email, transmit or otherwise make available either directly or indirectly, any unsolicited bulk e-mail or unsolicited commercial e-mail. Samvidya Edutech reserves the right to filter and monitor and block the Content / emails sent by user using the servers maintained by Oxloop. All attempts shall be made by Samvidya Edutech and the user to abide by International Best Practices in containing and eliminating Spam.

Users shall not spam the database maintained by Oxloop / Oxloop Website or indiscriminately and repeatedly forward mail that may be considered spam etc. etc. Any conduct of the user in violation of this clause shall entitle Samvidya Edutech to forthwith terminate all services to the user without notice and to forfeit any amounts paid by him. Oxloop may contain links to or may contain embedded content (via mechanisms such as iframes or similar) from third party websites that are not owned or controlled by Samvidya Edutech. Samvidya Edutech has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. In addition, Samvidya Edutech will not and cannot censor or edit the content of any third-party site. By using Oxloop you expressly relieve from any and all liability arising from your use of any third-party website. Accordingly, we encourage you to be aware when you leave the website and to read the terms and conditions and privacy policy of each other website that you visit. The user shall not upload, post, transmit, publish, or distribute any material or information that is unlawful, or which may potentially be perceived as being harmful, threatening, abusive, harassing, defamatory, libelous, vulgar, obscene, or racially, ethnically, or otherwise objectionable.

The user expressly states that the content, insertion or information/data being fed into the Oxloop by the user or its authorised representative is correct and complete in all respects and does not contain any false, distorted, manipulated, fraudulent or misleading facts or averments. Samvidya Edutech expressly disclaims any liability arising out of the said content/insertion/information/ data so fed into the Oxloop by the User or its representative. Further, the user agrees to indemnify Samvidya Edutech for all losses incurred by Samvidya Edutech due to any false, distorted, manipulated, defamatory, libelous, vulgar, obscene, fraudulent or misleading facts or otherwise objectionable averments made by the user on the Oxloop.

The User is solely responsible for maintaining confidentiality of the User password and user identification and all activities and transmission performed by the User through his user identification and shall be solely responsible for carrying out any online or off-line transaction involving credit cards / debit cards or such other forms of instruments or documents for making such transactions and Samvidya Edutech assumes no responsibility or liability for their improper use of information relating to such usage of credit cards / debit cards used by the subscriber online / off-line.

The Users to Oxloop hereby specifically agree that he/she shall, at all times, comply with the requirements of the Information Technology Act, 2000 as also rules, regulations, guidelines, bye laws and notifications made thereunder, while assessing or feeding any content/insertion or information/data into the computers, computer systems or computer network of Oxloop. The said User/ subscriber/ visitor to Oxloop does further unequivocally declare that in case he violates any provisions of the Information Technology Act, 2000 and/or rules, regulations, guidelines, byelaws and notifications made thereunder, he shall alone be responsible for all his acts, deeds and things and that he alone shall be liable for civil and criminal liability there under or under any other law for the time being in force.

If you are an Educator on Oxloop, you shall be solely responsible for all Content that is submitted/uploaded/provided by you and/or your representatives and the consequences of sharing and publishing Content on Oxloop. You affirm, represent, and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish Content through Educator’s Members / Students; and warrant that Oxloop shall not need to obtain any licenses, rights, consents, or permissions from, or make any payments to, any third party for any use or exploitation of Educator Content as authorised in these terms or have any liability to you or any other party as a result of any use or exploitation of Educators Content as authorised in these Terms.

By submitting Content to Oxloop and sharing it with Educator’s Members, you grant Oxloop the non-exclusive rights to provide the Content to Educator’s Members.

By submitting Content to Oxloop and publishing it, you grant Oxloop the non-exclusive rights to provide the Content to Users of Oxloop.

If you are an Educator, you can remove your Content at any time.

You expressly relieve Oxloop from any and all liability arising from non-delivery of Content that has been removed from Oxloop for any reason whatsoever or that is not able to be delivered due to legal, technical, political or commercial reasons. If you are a Student, you agree that Oxloop only provides a platform for delivery of Course Content and associated activities on behalf of Educator.

The User is solely responsible for obtaining, at his own cost, all licenses, permits, consents, approvals and intellectual property or other rights on providing content, third party content, information, logos and any other data as may be required for using it on Oxloop.

The Content in Oxloop is from different geographies. The User / Member / Visitor to Oxloop is prohibited from uploading, posting, transmitting, updating or sharing: any Content / information that:

  • belongs to another person and to which the user does not have any right to;
  • is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, libellous, invasive of another's privacy, hateful, or racially, ethnically objectionable, disparaging, relating or encouraging money laundering or gambling, or otherwise unlawful in any manner whatever; harm minors in any way;
  • infringes any patent, trademark, copyright or other proprietary rights;
  • violates any law for the time being in force;
  • deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature; impersonate another person;
  • contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states or public order or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting any other nation.

Technical support is only provided to paying account holders and is only available via email.

You understand that Oxloop uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.

You agree not to perform misrepresentation of yourself, or disguising the origin of any content (including by “spoofing”, “phishing”, manipulating headers or other identifiers, impersonating anyone else, or falsely implying any sponsorship or association with Oxloop or any third party).

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without the express written permission by Oxloop.

Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Oxloop customer, employee, member, or officer will result in immediate account termination.

Oxloop won’t allow: (a) Compromising the integrity of our systems. This could include probing, scanning, or testing the vulnerability of any system or network that hosts our services. (b) Tampering with, reverse-engineering, or hacking our services, circumventing any security or authentication measures, or attempting to gain unauthorized access to the services, related systems, networks, or data. (c) Modifying, disabling, or compromising the integrity or performance of the services or related systems, network or data. (d) Deciphering any transmissions to or from the servers running the services. (e) Overwhelming or attempting to overwhelm our infrastructure by imposing an unreasonably large load on our systems that consume extraordinary resources (CPUs, memory, disk space, bandwidth, etc.).

You must not use meta-tags or any other “hidden text” including Oxloop’s or our suppliers’ product names or trademarks.

You must not access or search any part of Oxloop by any means other than our publicly supported interfaces.

Oxloop does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, secure, or error-free, and (iii) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations.

The failure of Oxloop to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. The Terms of Use constitutes the entire agreement between you and Oxloop and govern your use of the Service, superseding any prior agreements between you and Oxloop (including, but not limited to, any prior versions of the Terms of Use).

Oxloop (in its sole discretion) determines that a user has violated these Terms of Use.

The user shall not infringe on any intellectual property rights of any person / entity or retain information / download any information from any computer system or otherwise with an intention to do so while using Oxloop.

Samvidya Edutech respects the intellectual property rights of others and expects our Users to do the same. Samvidya Edutech will respond to claims of copyright infringement committed using the Oxloop and the services that are reported to the Samvidya Edutech at info@oxloop.com with a subject line “Alleged Copyright Infringement”.

If you are a copyright owner or are authorized to act on behalf of a copyright owner, please report any alleged copyright infringement taking place on the Oxloop to info@oxloop.com with a subject line “Alleged Copyright Infringement”. Upon receipt of an intimation, Samvidya Edutech will take such action as we, in our sole discretion, deem appropriate, including removal of the challenged use from the Oxloop or cancellation or the registration for the offenders.

Samvidya Edutech will make best efforts to do so but does not warrant that any of the web sites or any affiliate site(s) or network system linked to it is free of any operational errors nor does it warrant that it will be free of any virus, computer contaminant, worm, or other harmful components.

Samvidya Edutech make no warranties, express or implied, guarantees or conditions with respect to your use of the services. You understand that use of the services is at your own risk and that we provide the services on an "as is" basis "with all faults" and "as available." you bear the entire risk of using the services. Samvidya Edutech doesn't guarantee the accuracy or timeliness of information available from the services. To the extent permitted under your local law, we exclude any implied warranties, including for merchantability, satisfactory quality, fitness for a particular purpose, workmanlike effort, and non-infringement. You acknowledge that computer and telecommunications systems are not fault-free and occasional periods of downtime occur. We do not guarantee the services will be uninterrupted, timely, secure, or error-free or that content loss won't occur, nor do we guarantee any connection to or transmission from the computer networks.

Samvidya Edutech shall not be liable for any loss or damage sustained by reason of any disclosure (inadvertent or otherwise) of any information concerning the Members Account and / or information relating to or regarding online transactions using credit cards / debit cards and / or their verification process and particulars nor for any error, omission or inaccuracy with respect to any information so disclosed and used whether or not in pursuance of a legal process or otherwise. By becoming a Member, you have given consent to receive Newsletters, promotional emails and any other material from Oxloop. If you are a Student You agree to receive Newsletters, promotional emails and any other material from each Educator whether you are a Student of that Educator or not.

Member/User acknowledges and agrees that Oxloop, at its sole discretion and without prejudice to other rights and remedies that it may have under the applicable laws, shall be entitled to set off the amount paid or payable by a Member/User against any amount(s) payable by Member/User to Samvidya Edutech under any other agreement or commercial relationship towards other products/services.

Samvidya Edutech further reserves its right to post the data on the Oxloop as Samvidya Edutech may deem fit and proper at no extra cost to the User.

Any agreement for a subscription / usage entered into by Samvidya Edutech does not confer exclusivity of service on any subscriber / user.

Samvidya Edutech will not be party to any legal proceedings between a User (e.g. a Educator) and other User (e.g. Student). In case Samvidya Edutech is implicated in any legal proceedings, costs will be recovered from the party that names Samvidya Edutech. Samvidya Edutech however will abide with any court order served on it through due process.

In case a person using the world wide web/internet receives a spam or virus which includes a link to Oxloop, Samvidya Edutech should not be held responsible for the same. Samvidya Edutech assumes no responsibility for such mails.

The services provided by the websites / apps maintained, operated or owned by Samvidya Edutech do not extend to acting as an agent (express or implied) on behalf of any User.

The terms and conditions mentioned above regulate the usage of Oxloop. Any person using Oxloop Website in violation of the stipulations contained in the Terms and Conditions of Oxloop shall render himself/herself liable to appropriate action in a court of law both civil and criminal.

The User of Oxloop is subject to the Privacy Policy available through this link.

In case of non compliance of these Terms and Conditions or Privacy Policy Samvidya Edutech may terminate usage rights and take down any offending information that might have been uploaded by such subscriber/user

Oxloop may facilitate collection of fees from Students on behalf of Educator as determined by the Educator.

The subscription of a User shall be subject to subscription plans as applicable and as advised. E-Mails provided as part of contact details are expected to be genuine and access to such email accounts is available to authorised personnel only.

Payments for the services offered by Samvidya Edutech shall be on a 100% advance basis. Refund if any will be at the sole discretion of Samvidya Edutech. Samvidya Edutech offers no guarantees whatsoever for the accuracy or timeliness of the refunds reaching the customers card/bank accounts. Samvidya Edutech gives no guarantees of server uptime or applications working properly. All is on a best effort basis and liability is limited to refund of amount only. Samvidya Edutech undertakes no liability for free services. Samvidya Edutech reserves its right to amend / alter or change all or any disclaimers or terms of agreements at any time without any prior notice. All terms / disclaimers whether specifically mentioned or not shall be deemed to be included if any reference is made to them.

Oxloop may provide for collection of fees for Educators. Fees for any Course are solely determined by the Educator and are responsible for payment of any taxes as per their jurisdiction.

Your Bank, payment processor or any other intermediate agency facilitating the payment may charge you additional transaction costs including but not limited to foreign exchange conversion charges, credit card charges and other charges which you agree that these charges are in addition to any fees charged by Educator through Oxloop and that you are responsible for them.

Samvidya Edutech will deduct the charges which are mutually agreed between Samvidya Edutech and the Educator from amounts paid by Students to avail the services through Oxloop before they become payable to Educator.

Either Educator or us may terminate the agreement immediately at any time by email. The termination does not create any liability of refund through Oxloop unless otherwise provided by the Plan.

The Terms will be enforced to the fullest extent permitted by applicable law. If anything in this agreement is unenforceable, illegal or void then it is severed and the rest of the agreement remains in force.

4. Jurisdiction

The laws of Mumbai, India govern this agreement and you agree to the courts of Mumbai having jurisdiction in any matter under this agreement.

These Terms, the Privacy Policy and any notices or disclaimers on the Oxloop are the entire agreement between You and Samvidya Edutech and all implied terms are excluded to the extent possible under law.
